Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the subfilly.app website and the Subfilly browser extension (collectively, the "Service") operated by Subfilly ("us", "we", or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Description of Service

Subfilly provides a browser extension designed to assist users in filling out web forms by utilizing user-provided context (such as uploaded documents or text) processed through Large Language Models (LLMs). The Service includes the website subfilly.app for account management and billing, and the browser extension for form-filling functionality.

2. User Accounts

To access certain features of the Service, you must register for an account. When you create an account with us, you guarantee that the information you provide us (primarily your email address) is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Subscription Plans and Billing

Subfilly offers various subscription plans, including a Free plan and paid plans (e.g., Plus, Infinite) with different usage limits. Details of current plans and pricing are available on our [Pricing Page](/(marketing)/pricing).

  • Free Plan: Provides limited usage of the Service without requiring payment information. Usage limits may apply and may not reset periodically.
  • Paid Plans: Offer higher usage limits based on the selected plan. Subscriptions are billed in advance on a recurring basis (monthly or yearly).
  • Billing Cycle: Subscriptions automatically renew at the end of each billing cycle unless canceled by you through your account's Billing section ([go to billing page](/billing)).
  • Payment Method: A valid payment method is required for paid plans. Payments are processed securely via our third-party payment processor, Stripe. By submitting payment information, you authorize us (through Stripe) to charge all subscription fees incurred through your account to any such payment instruments.
  • Failed Payments: Should automatic billing fail to occur for any reason, your access to paid features may be suspended or terminated, and your account may revert to the Free plan limitations until payment is successfully processed.
  • Usage Limits: Paid plans are subject to usage limits as defined on the Pricing Page. Exceeding these limits may require upgrading your plan or waiting until the next billing cycle.
  • Changes: We reserve the right to modify subscription fees at any time. Any fee changes will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in Subscription fees.

4. User Conduct and Responsibilities

You agree not to use the Service for any purpose that is illegal or prohibited by these Terms. You agree not to:

  • Use the Service in any way that could damage, disable, overburden, or impair the Service.
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
  • Use any automated system, including without limitation "robots," "spiders," or "offline readers," that accesses the Service in a manner that sends more request messages to the servers than a human can reasonably produce in the same period by using a conventional on-line web browser.
  • Transmit any data or content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Infringe upon the intellectual property rights of others.

You are solely responsible for the context (documents, text) you provide to the Service for form filling. You represent and warrant that you have the necessary rights to use such context and that its use through the Service does not violate any third-party rights or applicable laws.

5. User Content and Data

As outlined in our Privacy Policy:

  • We do not store the documents or text content you provide as context for form filling after processing.
  • We do not store the prompts generated for form filling.
  • The only personal information we store is your email address for account management.
  • Your prompts and context data are transmitted to third-party LLM providers for processing.

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Subfilly and its licensors. The Service is protected by copyright, trademark, and other laws of both the [Your Country/Jurisdiction] and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Subfilly.

7. Third-Party Services

Our Service relies on third-party services, including:

  • LLM Providers: For processing context and generating form fills. Their use of data is governed by their respective privacy policies.
  • Stripe: For secure payment processing. Their use of your payment information is governed by their privacy policy.

We are not responsible for the practices or policies of these third-party services. Your interactions with these services are subject to their terms and policies.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may do so by contacting us as described in the Privacy Policy for data deletion. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Service is at your sole risk. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Subfilly does not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

10. Limitation of Liability

In no event shall Subfilly, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
